Focus Compounding initially held 20% of Park America, increasing to 40% after the founder, who was also CEO and chairman, passed away. A conflict arose between shareholders, leading to the founder being ousted. Focus Compounding then used its increased stake to gain control of the board through a proxy fight at the annual meeting, after failed negotiation attempts.
“But, uh, Focus Compounding did not have a board seat at the time, they didn't want a board seat at the time because they trusted the founder who was the CEO and chairman of the board.”
“But then, uh, as the CEO and chairman of the board started to have health issues because he was getting quite old, there was a dynamic between the other shareholder, the other microcap investor, and essentially ousted the chairman and CEO and the founder of the company.”
“And right before the founder passed away, sold shares to Focus Compounding, which gave Focus Compounding 40% ownership of the stock.”
“And, uh, that's when they decided to use that voting power to try to get a board seat and through, um, many attempts for settlements and negotiations, uh, had to go all the way to an annual meeting. And, uh, then, um, Focus Compounding gained control of the board.”
